If such efforts prove unsuccessful, all such controversies, claims, or disputes shall be submitted to binding arbitration pursuant to the Federal Arbitration Act, 9 U.S.C., §1 et seq. Arbitration shall be conducted in accordance with the rules of the American Arbitration Association. The venue for any arbitration shall be held in Mercer County New Jersey. The arbitration award shall be final & binding, & it may be confirmed & enforced in any court of competent jurisdiction. Each party shall pay for all attorney fees it incurred in connection with the arbitration & shall share equally in the costs of the arbitration.

 

This shall be governed by, & shall be construed in accordance with, the laws of the State of New Jersey, excluding any conflicts of law provisions. Any suit brought shall be brought in the Circuit Court for Mercer County, New Jersey.
